The policy of a legal entity is in principle shaped by the board of directors, which a board of supervisors or board of commissioners supervises. With regards to the policy of the legal entity, the supervision and the relationship between the board and the supervising body, disputes can arise. For example, (i) a director may have a personal interest in a decision to be made or a decision that has been made, (ii) there may be reasonable doubt as to the independence of the board of commissioners and/or (iii) money may be taken from the legal entity unlawfully.
